Mindset Shift LLC Consulting Services Terms & Conditions These Terms apply to all services provided by Mindset Shift LLC (“Consultant”), including Strategic Consultations, Business Diagnostics, Leadership & Team Alignment Consulting, Systems & Operational Clarity Consulting, and Ongoing Advisory Engagements. Nature of Services Consultant provides professional business consulting focused on leadership, operational structure, alignment, and strategic clarity. Services may include interviews, workflow reviews, facilitated discussions, and written recommendations. Services are advisory in nature and do not constitute legal, financial, accounting, or psychological advice. No Guarantee of Results Business outcomes depend on variables outside Consultant’s control, including leadership decisions, employee performance, market conditions, and implementation. Consultant does not guarantee financial results, profitability increases, employee retention, or operational improvements. Client Responsibility All decisions and implementation remain solely the responsibility of the Client. Consultant is not liable for actions taken or not taken based on recommendations provided. Confidentiality Consultant will maintain reasonable confidentiality regarding proprietary information shared, except as required by law. Client may not record or distribute materials without written permission. Payment & Scope Consultation fees are due prior to scheduling. Project and retainer services may require deposits or advance billing. Payments are non-refundable unless otherwise stated in writing. Services are limited to agreed scope; expanded work may require additional fees. Independent Contractor Consultant operates as an independent contractor. No partnership, employment, fiduciary, or joint venture relationship is created. Limitation of Liability Consultant’s liability is limited to the amount paid for the specific service provided. Consultant is not liable for indirect or consequential damages. Cancellation & Rescheduling Consultations may be rescheduled with at least 24 hours’ notice. Late cancellations or no-shows are non-refundable. Project deposits secure calendar time and are non-refundable. Retainers are billed in advance and non-refundable once the billing cycle begins. By scheduling services with Mindset Shift LLC, you acknowledge that you have read, understand, and agree to these Terms & Conditions.
